Terms of Service
1. Agreement to terms
These Terms of Service ("Terms") are a binding agreement between you and Radiant Intelligence, Inc. ("Radiant," "we," "us," or "our") governing your access to and use of the Radiant website, applications, and services (the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
2. The Service
Radiant helps you reduce customer churn by connecting to your analytics and billing tools, identifying users who show churn signals, and drafting and sending retention outreach according to the playbook and settings you configure. You control whether outreach is sent automatically or held for your manual approval. Radiant is a software tool that acts on your instructions; you remain responsible for the messages sent through your account.
3. Accounts & eligibility
You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and capable of forming a binding contract. We may suspend or terminate accounts that violate these Terms.
4. Your responsibilities
Because Radiant sends communications to your end users on your behalf, you are responsible for ensuring those communications are lawful. In particular, you agree that:
- You have all necessary rights, permissions, and consents to share your end users' data with Radiant and to contact them by email and/or SMS.
- Your use complies with applicable laws governing electronic communications, including but not limited to the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), applicable telemarketing and messaging rules, and the GDPR or other privacy laws where relevant.
- You will honor opt-out and unsubscribe requests and will not use the Service to send unlawful, deceptive, harassing, or unsolicited messages.
- You will configure outreach content and playbooks responsibly and review messages where your settings call for manual approval.
You are solely responsible for the content of outreach attributable to your account, whether sent automatically or after your approval.
5. Acceptable use
You will not: (a) use the Service to violate any law or third-party right; (b) reverse engineer, resell, or misuse the Service; (c) attempt to gain unauthorized access to the Service or its systems; (d) upload malicious code or interfere with the Service's operation; or (e) use the Service to send spam or content prohibited by our providers' policies.
6. Third-party integrations
The Service integrates with third-party tools such as PostHog, Stripe, Resend, and Twilio. Your use of those tools is governed by their own terms, and we are not responsible for their availability, accuracy, or actions. You authorize Radiant to access and process data from the integrations you connect, on a read-only basis where applicable, in order to provide the Service.
7. Fees & billing
Paid plans are billed in advance on a recurring basis through our payment processor. Fees are non-refundable except as required by law or expressly stated. We may change pricing on prospective notice; changes apply at your next renewal. You are responsible for applicable taxes. If a payment fails, we may suspend the Service until amounts are paid.
8. Customer data & ownership
As between you and Radiant, you own the data you provide and the data we access through your integrations ("Customer Data"). You grant Radiant a limited, worldwide license to use, process, and display Customer Data solely to provide and improve the Service and as described in our Privacy Policy and Data Processing Addendum. We may use aggregated or de-identified data that does not identify you or your end users to operate and improve the Service.
9. Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by Radiant and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Feedback you provide may be used by us without obligation to you.
10. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Radiant disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that churn predictions will be accurate, or that outreach will retain any particular customer. Outreach is generated by automated systems and you are responsible for reviewing it as appropriate.
11. Limitation of liability
To the maximum extent permitted by law, Radiant and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amounts you paid to Radiant in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You will indemnify and hold harmless Radiant from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, your outreach content, or your breach of these Terms or applicable law, including communications laws referenced in Section 4.
13. Term & termination
These Terms apply while you use the Service. You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms or if necessary to protect the Service or others. On termination, your right to use the Service ends and we will handle Customer Data as described in our Privacy Policy. Sections that by their nature should survive termination will survive.
14. Governing law & disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in San Francisco County, California, and you consent to their jurisdiction, except that either party may seek injunctive relief where appropriate.
15. Changes to these terms
We may update these Terms from time to time. When changes are material, we will update the "Last updated" date and provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance.
